1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AllKids AI ("Company," "we," "us," or "our") governing your access to and use of the AllKids AI mobile application, website, and related services (collectively, the "Service").

By:

• Creating an account
• Downloading our application
• Accessing or using any part of our Service
• Clicking "I Agree" or similar acceptance

You acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility & Age Requirements

2.1 Parent/Guardian Requirements

To create an account and use AllKids AI, you must be:

• At least 18 years of age (or the age of majority in your jurisdiction)
• A parent or legal guardian of any child using the Service
• Capable of entering into a binding legal agreement

2.2 Child User Requirements

AllKids AI is designed for children ages 5-11. Children may only use the Service:

• With verifiable parental consent
• Under the supervision of a parent or guardian
• After their profile has been approved by a parent

2.3 Parental Responsibility

As a parent or guardian, you agree to:

• Supervise your child's use of the Service
• Accept responsibility for all activities under your child's profile
• Ensure your child follows these Terms
• Review your child's AI Buddy interactions periodically

3. Account Registration

3.1 Account Creation

To use AllKids AI, you must create a parent account providing:

• A valid email address
• A secure password
• Accurate account information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong, unique passwords

3.3 One Account Per Household

Parent accounts are intended for household use. Each parent account may have multiple child profiles as allowed by your subscription plan.

3.4 Account Accuracy

You agree to provide accurate, current, and complete information and to update this information as necessary.

4. Service Description

4.1 What AllKids AI Provides

AllKids AI offers:

• AI Learning Buddies - Personalized AI companions for children
• Educational Content - Age-appropriate learning activities
• Progress Tracking - Parent dashboard with learning insights
• Voice Interactions - Natural language conversations with AI Buddies
• BuddyBrain-swap Technology - Transfer AI personality to physical robots

4.2 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be:

• Temporarily unavailable for maintenance
• Subject to modifications or updates
• Discontinued with reasonable notice

4.3 Not a Substitute for Education

AllKids AI is a supplemental educational tool. It is NOT:

• A replacement for formal education
• A licensed educational curriculum
• A childcare or babysitting service
• Professional tutoring

5. Subscriptions & Payments

5.1 Subscription Plans

AllKids AI offers various subscription plans. Current plans and pricing are available in the app and on our website.

5.2 Free Trial

New users may be eligible for a free trial. After the trial period:

• Your subscription will automatically convert to a paid subscription
• You will be charged unless you cancel before the trial ends
• Cancellation does not provide a refund for the trial period

5.3 Billing

• Subscriptions are billed in advance on a recurring basis (monthly or annually)
• All payments are processed through secure third-party payment processors (Stripe)
• Prices are subject to change with 30 days notice
• Taxes may apply based on your location

5.4 Cancellation

• You may cancel your subscription at any time through the app or by contacting support
• Cancellation takes effect at the end of the current billing period
• You retain access until the end of your paid period
• No partial refunds for unused portions of a billing period

5.5 Refunds

Refunds are provided at our discretion. Eligible circumstances include:

• Technical issues preventing Service use (verified by our team)
• Duplicate charges
• Unauthorized purchases (with verification)

Refund requests must be submitted within 14 days of the charge.

5.6 Price Changes

We reserve the right to adjust pricing. Price changes:

• Will not affect current billing cycles
• Will be communicated 30 days in advance
• Allow you to cancel before the new price takes effect

6. Acceptable Use Policy

6.1 Permitted Use

You may use AllKids AI for:

• Personal, non-commercial educational purposes
• Your own children's learning and entertainment
• Household use as permitted by your subscription

6.2 Prohibited Conduct

You agree NOT to:

• Share your account credentials with others
• Create accounts for children without being their parent/guardian
• Use the Service for commercial purposes without authorization
• Attempt to hack, reverse engineer, or compromise the Service
• Introduce malware, viruses, or harmful code
• Circumvent security measures or access controls
• Scrape, collect, or harvest user data
• Use automated systems (bots) to access the Service
• Impersonate others or provide false information
• Violate any applicable laws or regulations
• Abuse, harass, or harm others through the Service
• Attempt to manipulate AI responses inappropriately

6.3 Child-Specific Restrictions

Children using the Service must not:

• Share personal information (home address, phone number, school name)
• Attempt to bypass content filters
• Use inappropriate language with AI Buddies
• Share account access with friends

7. User Content

7.1 Definition

"User Content" includes all information, data, and content provided by users, including:

• Profile information
• Voice interactions with AI Buddies
• Text inputs and responses
• Learning preferences and settings

7.2 License Grant

By submitting User Content, you grant AllKids AI a non-exclusive, worldwide, royalty-free license to:

• Use, process, and store the content to provide the Service
• Improve our AI and educational offerings (using anonymized data)
• Comply with legal requirements

7.3 Content Ownership

You retain ownership of your User Content. We claim no ownership rights over content you provide.

7.4 Content Removal

We may remove User Content that:

• Violates these Terms
• Is inappropriate for our child-focused platform
• Violates applicable laws
• Is requested for removal by law enforcement

8. Intellectual Property

8.1 Our Intellectual Property

AllKids AI and its licensors own all rights to:

• The AllKids AI brand, logo, and trademarks
• BuddyBrain-swap technology and related marks
• AI Buddy characters and personalities
• App design, code, and functionality
• Educational content and curriculum
• All software, algorithms, and AI models

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes. This license does not include rights to:

• Copy, modify, or distribute any part of the Service
• Reverse engineer or decompile the software
• Use our trademarks without written permission
• Create derivative works
• Resell or sublicense access to the Service

8.3 Feedback

If you provide feedback, suggestions, or ideas, we may use them without compensation or obligation to you.

9. AI Buddy Interactions

9.1 Nature of AI

AI Buddies are artificial intelligence systems. They:

• Are NOT human and do not have feelings or consciousness
• May occasionally produce inaccurate information
• Are designed to be educational and entertaining, not authoritative
• Should not be relied upon for critical decisions

9.2 Content Safety

We implement multiple layers of content filtering to ensure AI responses are:

• Age-appropriate for children 5-11
• Free from inappropriate content
• Educational in nature
• Safe and supportive

9.3 Limitations

Despite our safety measures, AI systems may occasionally produce unexpected outputs. Parents should:

• Review their child's interactions periodically
• Report any concerning content immediately
• Maintain open communication with their children

9.4 No Medical, Legal, or Professional Advice

AI Buddies do NOT provide:

• Medical or health advice
• Legal advice
• Professional counseling
• Emergency response guidance

For any serious concerns, please consult appropriate professionals.

10. Privacy

Your privacy is important to us. Our Privacy Policy explains:

• What information we collect
• How we use and protect it
• Your rights regarding your data
• Our COPPA, GDPR, and CCPA compliance

By using the Service, you consent to our data practices as described in our Privacy Policy.

11. Termination

11.1 Your Right to Terminate

You may terminate your account at any time by:

• Using the account deletion feature in the app
• Contacting support at support@allkidsai.com

11.2 Our Right to Terminate

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay subscription fees
• Abuse the Service or other users
• Provide false information

11.3 Effect of Termination

Upon termination:

• Your access to the Service will end immediately
• Your data will be deleted per our Privacy Policy
• Any prepaid fees are non-refundable (except as required by law)
• Provisions that should survive termination will remain in effect

12. Disclaimers

We disclaim all warranties including:

• Merchantability and fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation
• Accuracy or reliability of AI-generated content
• Security from unauthorized access

We do not warrant that:

• The Service will meet your specific requirements
• Results from using the Service will be accurate or reliable
• Any errors will be corrected
• The Service will be compatible with all devices

13. Limitation of Liability

13.1 No Consequential Damages

AllKids AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Loss of profits, data, or goodwill
• Service interruption
• Computer damage or system failure
• Cost of substitute services

13.2 Liability Cap

Our total liability shall not exceed the greater of:

• The amount you paid us in the 12 months preceding the claim
• One hundred US dollars ($100)

13.3 Exceptions

These limitations do not apply to:

• Liability that cannot be excluded by law
• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation

14. Indemnification

You agree to indemnify, defend, and hold harmless AllKids AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Your child's use of the Service under your supervision

15. Dispute Resolution

15.1 Informal Resolution

Before filing any claim, you agree to attempt informal resolution by contacting us at legal@allkidsai.com. We will try to resolve disputes within 30 days.

15.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under their Consumer Arbitration Rules.

• Arbitration will be conducted in English
• The arbitrator's decision is final and binding
• Judgment may be entered in any court of competent jurisdiction

15.3 Class Action Waiver

You agree to resolve disputes individually. You waive any right to participate in class actions or class-wide arbitration.

15.4 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or unauthorized access.

15.5 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms, constitute the entire agreement between you and AllKids AI.

16.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

16.3 Waiver

Failure to enforce any provision is not a waiver of our right to enforce it later.

16.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to any successor or affiliate.

16.5 Force Majeure

We are not liable for failures caused by circumstances beyond our reasonable control.

16.6 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

16.7 Electronic Communications

You consent to receiving communications electronically. Electronic agreements satisfy legal writing requirements.
